Changing a company constitution is not one generic upload. The legal basis for the alteration determines the approval, supporting document and Bizfile filing route. A company secretary should be able to trace the final PDF back to the exact resolution and section before anyone presses submit.
This guide is for a Singapore company director or secretary implementing an approved constitution change. The decision is to choose the correct alteration route, assemble the right PDF evidence and avoid filing before the required corporate approval exists.
Start with the alteration type

The section 26 route covers a general alteration by special resolution, while the other routes address changes with their own statutory conditions. The constitution is a governance document
ACRA describes the constitution as the rules for running the company, covering matters such as business activities, shareholder liability, share capital, registered office and governance procedures. Resolution evidence must match the final text
The board proposal, shareholder notice, signed special resolution and consolidated constitution should use the same defined terms and effective wording. Keep a comparison copy showing each insertion and deletion, but upload the document format ACRA asks for. A minutes extract cannot cure a final PDF that contains a different clause.
Prepare the Bizfile pack
Name files clearly, confirm the company UEN and transaction, keep each PDF within the stated upload limit and remove password protection. Record the filer’s authority and payment or acknowledgement reference. If ministerial consent or another prior approval applies, do not represent the alteration as immediately effective.
Update downstream records deliberately
After the filing readback, identify documents that depend on the constitution: shareholder agreements, delegated authorities, signing limits, share-transfer procedures, meeting templates and bank mandates. The statutory filing and operational implementation are linked but not identical steps.

Keep the decision usable after today
A first check can go stale before the task is finished. Put start with the alteration type, the constitution is a governance document and resolution evidence must match the final text on separate dated lines instead of combining them into one “done” box. Attach the authority page or document beside the line it supports, record the person who checked it, and write the exact event that will force another check. That event may be a changed account, amended filing, new appointment, revised timetable, altered access route, later test run or updated dataset. The format matters because a future reader must be able to see which fact changed without repeating every part of the exercise.

Before relying on the result, ask a second reader to reproduce the conclusion from the saved material without being told the preferred answer. They should be able to match the right person, entity, account, property, route, service or software version; identify the controlling date; and explain the strongest stop condition. If they reach another branch, do not average the two answers. Reopen the disputed source, definition or input. A decision that cannot be reproduced is not ready for a consequential step.
Worked example
A company wants to change share-transfer restrictions and meeting mechanics. The secretary maps both amendments to the chosen section 26 special-resolution route, circulates one marked-up schedule, obtains approval, generates a clean consolidated PDF and verifies every clause number before filing. The downstream share-transfer template is updated only after the filing result is saved.
The example is a calculation or decision illustration, not a report of an interview, purchase, visit, transaction, taste test or personal outcome. Replace its inputs with the reader’s own current evidence.
